1) INTRODUCTION:
The Valley Irrigation Grant (the "Promotion") begins at 12:00:00 am (CST) on Wednesday, August 20, 2025, and ends at 11:59:59 pm CST on Monday, December 15, 2025 (the "Entry Period"). One (1) Grand Prize winner and one (1) additional winner will be selected from all eligible applications to receive in-kind grant awards valued at $75,000 and $25,000 respectively toward Valley equipment, technology, or services (collectively referred to as “the Prize(s)”).
The sponsor of this Promotion is Valley Irrigation, a Valmont Industries, Inc. company (the "Sponsor"). The Promotion shall be subject to these Official Rules, and by entering the Promotion, all Participants agree to be bound by the terms and conditions contained herein.
2) NO PURCHASE NECESSARY:
No purchase is necessary to enter or win the prize. A purchase will not improve your chances of winning.
3) APPLICABLE LAW (VOID WHERE PROHIBITED):
This Promotion is subject to and governed by applicable federal, state, provincial, and local laws, and regulations. Participation in this Promotion is void where prohibited or otherwise restricted by law.
4) ELIGIBILITY:
Geographical Requirements: The Promotion is open to legal residents of the United States, and the District of Columbia (except residents of New York, Florida), and Canada (excluding Quebec) who are at least twenty-two (22) years of age as of the date of entry ("Eligible Entrants"). Eligible Entrants must be actively operating a commercial farm with at least 500 acres of irrigated land.

• Be open to working with a Valley dealer and/or Valley Science & Engineering team.
• Submit a complete application detailing a proposed project involving Valley equipment, technology, or services.
Promotion Entity and Immediate Family Member Ineligibility: Officers, directors, employees, contractors, and agents of Valley Irrigation, or any Valley related entity, or any Valley dealer or retailer and/ or any entity involved in the sponsorship, development, production, implementation and distribution of the Promotion or Promotion materials as well as their respective parent companies, affiliates, divisions, subsidiaries and successors (collectively the “Promotion Entities”), and Promotion Entities' immediate family members (and those living in the same household, whether or not related), are prohibited from participating in the Promotion and do not qualify as Eligible Entrants. “Immediate family members” includes spouses, siblings, parents, children, grandparents, and grandchildren, whether as “in-laws,” or by current or past marriage, remarriage, adoption, co-habitation, or other familial extension.
5) HOW TO ENTER:
Eligible Entrants are limited to one application per individual or farm operation. For purposes of this Promotion, a ‘farm operation’ is defined as a legal farming business entity or primary operating unit, and only one entry will be accepted per such entity, regardless of how many individuals are involved.
Entry Process:
1. Visit the grant website (valleyirrigation.com/grant) and submit your name and email to receive grant information and online application.
2. Complete and submit the application online (valleyirrigation.com/grant) or by mail no later than 11:59:59 PM CST, Monday, December 15, 2025.
VIA ONLINE: All “complete” online applications submitted in accordance with these Official Rules shall be deemed automatically entered into the Promotion. In the event of a dispute as to the identity of an online entrant, the authorized account holder of the e-mail address used to enter will be deemed to be the entrant. The selected Grand Prize Winner will be required to show proof of being the authorized account holder. The "authorized account holder" is the natural person assigned to an email address by an Internet service provider, online service provider or other organization (e.g., business, education, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.

Mail-in entries must be postmarked by December 7, 2025, and received by 5:00:00 PM CST on December 15, 2025. Mail-in entries that comply with these Official Rules will be automatically entered into the Promotion.
All entries become the sole and exclusive property of Sponsor and will not be returned.
Disclaimer of Responsibility for Entries: Sponsor is not responsible for problems with Promotion entries, including but not limited to, entries which are lost, late, misdirected, damaged, incomplete, illegible, or cannot be completed due to electronic or technical difficulties, even if the problem is the result of the sole or partial negligence of Sponsor.
Multiple Entries: Multiple entries are not permitted. Entries discovered to be submitted under multiple aliases, emails, or business entities will be disqualified.
False Fraudulent or Deceptive Entries or Acts: Entrants who, in the view of Sponsor, provide false, fraudulent, or deceptive entries or who engage in false, fraudulent, or deceptive acts in connection with the Promotion will be disqualified and subject to criminal prosecution.
Acceptance of Rules: By submitting an entry for this Promotion, Entrants affirm that they have read and accepted these Official Rules. Any entry information collected from the Promotion shall be used only in a manner consistent with the consent given by Entrants at the time of the entry, and with these Official Rules.
6) WINNER SELECTION / JUDGING / ODDS:
Two (2) winning applicants will be selected based on merit. A panel of qualified judges selected by Sponsor will review eligible applications between December 16, 2025, and January 9, 2026. Judging criteria will be based on the following rubric, each weighted at 25%:
1. Clarity of Irrigation Challenge
2. Potential Impact of Solution
3. Alignment with Valley Capabilities
4. Feasibility and Planning Detail
In the event of a tie, applications with higher scores in “Potential Impact of Solution” will be prioritized. Six (6) Entrants that receive the highest score based on the judging criteria above will be deemed a potential Finalist and their application will be vetted with the judging panel and their local Valley Dealer for viability. Thereafter, two (2) winning applicants will be selected.
Winners will be notified on or before January 16, 2026.
Prizes:
• One (1) Grand Prize: $75,000 in Valley products, services, or technology.
• One (1) Secondary Prize: $25,000 in Valley products, services, or technology.
Winners must redeem their prize through a participating Valley dealer. No cash redemption or transfer of prize is permitted. Sponsor may assist in identifying a participating dealer if one is not already known to the winner. Installation services may be included if coordinated through a Valley dealer. Sponsor reserves the right to substitute a prize of equal or greater value. Prize values may vary based on final dealer pricing. Any product, technology, and/or service fees exceeding the awarded Prize amount will be the responsibility of the winner and billed directly to them by the dealer.
Additional Grand Prize Benefits: The Grand Prize winner will also receive the following:
• A strategic planning session at Valley headquarters in Q1 2026, in collaboration with the local Valley dealer, Valley Science & Engineering, and the Valley Sales team. Airfare for two included, 2-night hotel stay, and guided transportation.
• A feature on RFD-TV, MDR reports, and Valley’s digital platforms.
• Lunch and/or dinner with Valley leadership during the planning session.
Participation Requirements: Winners must agree to:
• Participate in all aspects of the award, including planning sessions and public-facing opportunities.
• Implement the awarded project within one calendar year (2026).
• Entrants agree that, if selected as a winner, they will sign a media release or consent form allowing Valley Irrigation to use their name, image, and project details for promotional use.
• Allow Valley to document and publicize their project and outcomes through various media channels.
• The Winner(s) shall be responsible for a viable water source and fully operable Valley or competitively matched pivot (subject to review/approval) in their field. • THE WINNER(S) AGREE TO ACCEPT THE PRIZE "AS IS", SUBJECT ONLY TO ANY WARRANTIES OFFERED BY THE PRODUCT MANUFACTURER. SPONSOR MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AND EXPRESSLY DISCLAIMS ANY WARRANTY OF TITLE, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
Canadian winner(s) must correctly answer a time-limited, mathematical skill-testing question without assistance in order to be declared a winner. Failure to do so will result in disqualification and selection of an alternate winner, as required by Canadian law.
Sponsor will attempt to contact potential Prize Winner(s) by telephone, email, or mail (using the contact information provided by the potential Prize Winner(s) time of entering into the Promotion) at least three (3) times within seven (7) days following the date upon the drawing. If Sponsor is unable to reach a potential Prize Winner(s) as outlined, such potential Prize Winner(s) will be disqualified, and an alternate Prize Winner(s) will be selected.
Unless prohibited by law, acceptance of the Prize constitutes permission (except where prohibited by law) to use the Prize Winner's name, address (city and state only), voice photograph, likeness, testimonial, and statements for advertising, promotional or publicity purposes without additional compensation or limitation.
All federal, state/provincial, and local taxes, fees and other expenses not specified herein are the sole responsibility of the winner. U.S. winners will be issued a 1099 form reflecting the fair market value of the awarded prize.
If the aforementioned criteria are not met, Sponsor has the right to proceed with an alternative drawing for an additional winner.
7) RELEASE OF LIABILITY AND INDEMNIFICATION:
By participating in this Promotion, all entrants agree to RELEASE, DISCHARGE AND COVENANT NOT TO SUE Valley Irrigation and its direct and indirect affiliates, divisions, parent and subsidiary companies, officers, employees, shareholders, representatives, managers, members, directors, owners, agents, insurers, attorneys, predecessors, successors, and assigns thereof (collectively, the "Released Parties"), from and against all claims, damages, charges, injuries, losses, proceedings, suits, actions (including but not limited to tort actions, product liability actions, wrongful death actions, warranty actions, breach of contract actions, privacy and defamation actions, misappropriation of likeness actions, identity theft, loss of consortium claims), expenses and attorney fees that they or anyone on their behalf (including but not limited to their heirs, representatives or next of kin) have or might have for any death, injury, damage or claimed injury or damage arising out of acceptance, possession, misuse, or use of any prize, entry or participation in the Promotion, or any Promotion related activity, including, but not limited to, any claim that the act or omission complained of was caused in whole or in part by the strict liability or negligence in any form of the Released Parties.
Additionally, by participating in this Promotion, all entrants agree to INDEMNIFY, HOLD HARMLESS, AND DEFEND the Released Parties in any action or proceeding from and against all claims, damages, charges, injuries, losses, proceedings, suits, actions (including but not limited to tort actions, product liability actions, wrongful death actions, warranty actions, breach of contract actions, privacy and defamation actions, misappropriation of likeness actions, identity theft, loss of consortium claims), expenses and attorney fees that they or anyone on their behalf (including but not limited to their heirs, representatives or next of kin) have or might have for any death, injury, damage or claimed injury or damage arising out of, acceptance, possession, misuse, or use of any prize, entry or participation in the Promotion, or any Promotion related activity, or for their failure to comply with the terms of the above release provision. This agreement to indemnify, hold harmless and defend applies even if the act or omission complained of was allegedly caused in whole or in part by the strict liability or negligence in any form of the Released Parties.
8) GENERAL RULES AND LIMITATIONS OF LIABILITY:
All federal, state, and local laws, rules and regulations apply. If, for any reason, the Promotion is not capable of running as planned, including infection by computer virus or bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupt or affect the operation, administration, security, fairness, integrity, or proper conduct of this Promotion, Sponsor may, in its sole discretion, void any suspect entries/claims and: (i) cancel or terminate the Promotion (or any portion thereof); (ii) modify the Promotion or suspend the Promotion to address the impairment and then resume the Promotion in a manner that best conforms to the spirit of these Official Rules; and/or (iii) award the Grand Prize claimed prior to cancellation of the Promotion from among the eligible, non-suspect online entries received, up to the time of impairment, and all eligible mailed entries received.
By entering this Promotion, each entrant agrees to be bound by these Official Rules and by all decisions of Sponsor and its respective agencies, affiliates, parents, and subsidiaries, which are final and legally binding in all matters relating to this Promotion. Non-compliance with any of these Official Rules will result in disqualification and all privileges as an entrant will be immediately terminated. Sponsor, in its sole discretion, further reserves the right to disqualify any person for: (i) tampering with the entry process or the operation of the Promotion; (ii) gaining an unfair advantage in participating in the Promotion; (iii) obtaining winner status using false, fraudulent, or deceptive means; or (iv) engaging in otherwise unsportsmanlike, disruptive, annoying, harassing, or threatening behavior.
WARNING: ANY ATTEMPT BY ANY ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY CIRCUMVENT, DISRUPT OR DAMAGE ORDINARY AND NORMAL OPERATION OF THIS PROMOTION, TELEPHONE SYSTEMS OR WEB SITES OF SPONSOR, OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. The Released Parties are not responsible for any incorrect or inaccurate entry information; printing errors, human errors; technical malfunctions; failures, omissions, interruptions, deletions or defects of any wireless network, computer systems, servers, providers, or software relating or resulting from participation in the promotion; theft, tampering, destruction or unauthorized access to, or alteration of, entries; data that is processed late or incorrectly or is incomplete or lost due to wireless networks, computer or electronic malfunction or traffic congestion on wireless networks or for any reason whatsoever; printing or other errors; or any combination thereof. In the event that there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion materials and the terms and conditions of these Official Rules, the Official Rules shall prevail, govern, and control. The Released Parties are also not responsible if any prize cannot be awarded due to travel cancellations, delays, or interruptions due to acts of God, acts of war, natural disasters, weather, or terrorism.
This Promotion shall be governed by and construed in accordance with the laws of the State of Nebraska, without reference to its conflict of laws principles. By entering the Promotion, entrants hereby submit to the jurisdiction and venue of the federal and state courts of Nebraska and waive the right to have disputes arising out of the subject matter hereof adjudicated in any other forum. In no event, will any entrant be entitled to injunctive relief or equitable relief of any kind, or restrain the continuation of this Promotion.
Sponsor reserves the right to modify these Official Rules at any time to ensure compliance with applicable laws or address any unforeseen circumstances, provided such modifications do not materially disadvantage entrants.
9) PRIVACY:
By entering, applicants agree that the Sponsor may use submitted data for promotional purposes consistent with Valley Irrigation’s Privacy Policy. If you do not wish to receive promotional materials, you may opt out during the entry process or by contacting Valley. Entrants acknowledge that they may be contacted by Sponsor or authorized agents for promotional purposes, subject to applicable laws including the CAN-SPAM Act and Canada's Anti-Spam Legislation (CASL).
