1) INTRODUCTION:
The AgSense® Technology Giveaway (the "Promotion") begins at 12:00:00 am (CST) on Thursday, February 5, 2026, and ends at 11:59:00 pm CST on Sunday March 15, 2026 (the "Entry Period").Two (2) winners will be selected from all eligible entries to win one grand prize each (the “Grand Prize”), consisting of up to $10,000 USD in total value that may be applied only toward (i) new eligible AgSense hardware and (ii) up to one (1) year of an AgSense® 365 subscription directly associated with that newly installed hardware.
For clarity, no portion of the Grand Prize may be applied to any existing AgSense or AgSense 365 subscriptions, renewals, outstanding balances, prepaid service agreements, or previously purchased hardware. The Grand Prize is intended solely for (a) the purchase and installation of new eligible AgSense hardware and (b) the initiation of up to one (1) year of AgSense 365 subscription service directly associated with that newly installed hardware. Multi-year subscriptions are not permitted under the Grand Prize.
If you are a current user of AgSense or AgSense 365, the Grand Prize may be used for new eligible AgSense hardware and up to one (1) year of AgSense 365 subscription, and the subscription portion will be applied to the 2027 growing season. If you are not a current user of AgSense or AgSense 365, you may choose to apply the subscription portion to the 2026 or 2027 growing season. Additional details are set forth below.
The sponsor of this Promotion is Valley Irrigation (the "Sponsor"). The Promotion shall be subject to these Official Rules, and by entering the Promotion, all Participants agree to be bound by the terms and conditions contained herein.
2) NO PURCHASE NECESSARY:
No purchase is necessary to enter or win the prize. A purchase will not improve your chances of winning.
3) APPLICABLE LAW (VOID WHERE PROHIBITED):
This Promotion is subject to and governed by applicable federal, state and local laws and regulations. Participation in this Promotion is void where prohibited or otherwise restricted by law.
4) ELIGIBILITY:
Geographical Requirements: The Promotion is open to legal residents of the United States, and the District of Columbia (except residents of New York, Florida and Quebec) who are at least twenty-two (22) years of age as of the date of entry ("Eligible Entrants"). The Promotion is open to those who own or rent irrigation equipment for farming purposes, as it applies to AgSense hardware and use of the AgSense 365 app for irrigation monitoring and control.
Promotion Entity and Immediate Family Member Ineligibility: Officers, directors, employees, contractors, and agents of Valley Irrigation, or any Valley related entity, or any Valley dealer or retailer and/ or any entity involved in the sponsorship, development, production, implementation and distribution of the Promotion or Promotion materials as well as their respective parent companies, affiliates, divisions, subsidiaries and successors (collectively the “Promotion Entities”), and Promotion Entities' immediate family members (and those living in the same household, whether or not related), are prohibited from participating in the Promotion and do not qualify as Eligible Entrants. “Immediate family members” includes spouses, siblings, parents, children, grandparents, and grandchildren, whether as “in-laws”, or by current or past marriage, remarriage, adoption, co-habitation or other familial extension.
5) HOW TO ENTER:
Eligible Entrants are limited to one entry per Eligible Entrant. Entry can be made during the Entry Period in one of three (3) ways:
VIA ONLINE: During the Entry Period, Eligible Entrants can visit the website (valleyirrigation.com/agsensegiveaway), follow the instructions and complete all required fields on the online entry form. All online entries submitted in accordance with these Official Rules shall be deemed automatically entered into the Promotion. In the event of a dispute as to the identity of an online entrant, the authorized account holder of the e-mail address used to enter will be deemed to be the entrant. The selected Grand Prize Winner will be required to show proof of being the authorized account holder. The "authorized account holder" is the natural person assigned to an email address by an Internet service provider, online service provider or other organization (e.g., business, education, institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address.
VIA MAIL: Eligible Entrants may enter the Promotion by printing their name, home address, email address, and telephone number on a 3" x 5" card and mailing it to: Valley Irrigation, Attn: AgSense Giveaway, 28800 Ida St., Valley, NE 68064. All mail entries must be postmarked no later than March 13, 2026, and received on or before 5:00:00 PM (CST) on March 15, 2026. Mail-in entries that comply with these Official Rules will be automatically entered into the Promotion.
VIA ON-SITE: From time to time, entry boxes may be available at various shows, conferences and other designated locations. Eligible Entrants may submit completed entry forms into the designated entry boxes during the Entry Period. Only official entry forms will be considered. Entries on reproduced forms will be disqualified.
Entries Are the Sole and Exclusive Property of Sponsor: All Promotion entries become the sole and exclusive property of Sponsor upon submission and will not be returned.
Disclaimer of Responsibility for Entries: Sponsor is not responsible for problems with Promotion entries, including but not limited to, entries which are lost, late, misdirected, damaged, incomplete, illegible, or cannot be completed due to electronic or technical difficulties, even if the problem is the result of the sole or partial negligence of Sponsor.
Multiple Entries: Multiple entries are not permitted.
False Fraudulent or Deceptive Entries or Acts: Entrants who, in the view of Sponsor, provide false, fraudulent, or deceptive entries or who engage in false, fraudulent or deceptive acts in connection with the Promotion will be disqualified and subject to criminal prosecution.
Acceptance of Rules: By submitting an entry for this Promotion, Entrants affirm that they have read and accepted these Official Rules. Any entry information collected from the Promotion shall be used only in a manner consistent with the consent given by Entrants at the time of the entry, and with these Official Rules.
6) GRAND PRIZE/FIRST PRIZE/SELECTION/ODDS OF WINNING GRAND PRIZE:
Two (2) winners will each receive a Grand Prize consisting of up to $10,000 USD in total value of new eligible AgSense hardware and/or applications, plus up to one (1) year of AgSense 365 subscription service directly associated with the newly installed hardware (total prize value not to exceed $10,000 USD, exclusive of eligible installation costs described below). The prize also includes professional installation of the AgSense hardware, coordinated with the local Valley dealer and scheduled in consultation with the winner. Sponsor will cover eligible installation costs up to a maximum of $2,000 USD per winner. Any installation fees exceeding this amount will be the sole responsibility of the winner and invoiced directly to them by the dealer.
Use of Prize by Existing Customers:
Use of Prize by Existing Customers: Winners who are existing AgSense or AgSense 365 customers may not apply any portion of the Grand Prize toward existing subscriptions, renewals, previously purchased hardware, prior contractual commitments, or outstanding balances. The Grand Prize may only be applied toward new eligible AgSense hardware and up to one (1) year of AgSense 365 subscription service directly associated with that newly installed hardware.
Subscription Limit:
The Grand Prize may cover no more than one (1) year of AgSense 365 subscription service; multi-year subscriptions, extensions, and renewals are not eligible.

Winner to confirm existing center pivot field GPS coordinates or the field GPS coordinates of a purchased new Valley Center pivot in which the subscription will be connected to.

The AgSense technology products will be provided with dealer acknowledgement of the local and/or closest Valley Dealer to determine criteria has been met.
If the aforementioned criteria are not met, Sponsor has the right to proceed with an alternative drawing for an additional winner.
Grand Prize Winners will be chosen in a random drawing from all the eligible entries received for the Promotion during the Entry Period. The drawing from entries during the promotional period of February 5, 2026, to March 15, 2026, will be conducted by Sponsor between March 16, 2026, and March 20, 2026. Odds of winning depend upon the total number of eligible entries received during the Entry Period.
The approximate retail value of each Grand Prize is $10,000 USD. The free hardware offer includes select AgSense products (up to $10,000 total value) and up to $2,000 USD in installation costs. Customer is responsible for any additional costs beyond these amounts. Offer eligibility, availability, and terms vary. Taxes, additional installation fees, and other charges may apply.
The Winner shall be responsible for a viable water source and fully operable Valley or competitively matched pivot (subject to review/approval) in their field.
THE GRAND PRIZE WINNER AGREES TO ACCEPT THE PRIZE "AS IS", SUBJECT ONLY TO ANY WARRANTIES OFFERED BY THE PRODUCT MANUFACTURER. SPONSOR MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AND EXPRESSLY DISCLAIMS ANY WARRANTY OF TITLE, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
Grand Prize Winner is solely responsible for any and all applicable federal, state and local taxes (including but not limited to income and sales taxes) and/or all fees and expenses associated with the winning, acceptance and use of the Grand Prize. Grand Prize Winner will be issued a 1099 tax form for the fair market value of the Grand Prize.
The Grand Prize Winner is not transferable, and no substitutions are allowed except in Sponsor’s sole discretion. Sponsor reserves the right to substitute prize of equal or greater value if the Grand Prize is unavailable. The Grand Prize is not redeemable for cash.
Sponsor will attempt to contact potential Grand Prize Winner by telephone, email or mail (using the contact information provided by the potential Grand Prize Winner time of entering into the Promotion) at least three (3) times within seven (7) days following the date upon the drawing. If Sponsor is unable to reach a potential Grand Prize Winner as outlined, such potential Grand Prize Winner will be disqualified, and an alternate Grand Prize Winner will be selected.
Unless prohibited by law, acceptance of the Grand Prize constitutes permission (except where prohibited by law) to use the Grand Prize Winner's name, address (city and state only), voice photograph, likeness, testimonial and statements for advertising, promotional or publicity purposes without additional compensation or limitation.
7) RELEASE OF LIABILITY AND INDEMNIFICATION:
By participating in this Promotion, all entrants agree to RELEASE, DISCHARGE AND COVENANT NOT TO SUE Valley Irrigation and its direct and indirect affiliates, divisions, parent and subsidiary companies, officers, employees, shareholders, representatives, managers, members, directors, owners, agents, insurers, attorneys, predecessors, successors, and assigns thereof (collectively, the "Released Parties"), from and against all claims, damages, charges, injuries, losses, proceedings, suits, actions (including but not limited to tort actions, product liability actions, wrongful death actions, warranty actions, breach of contract actions, privacy and defamation actions, misappropriation of likeness actions, identity theft, loss of consortium claims), expenses and attorney fees that they or anyone on their behalf (including but not limited to their heirs, representatives or next of kin) have or might have for any death, injury, damage or claimed injury or damage arising out of acceptance, possession, misuse, or use of any prize, entry or participation in the Promotion, or any Promotion related activity, including, but not limited to, any claim that the act or omission complained of was caused in whole or in part by the strict liability or negligence in any form of the Released Parties.
Additionally, by participating in this Promotion, all entrants agree to INDEMNIFY, HOLD HARMLESS, AND DEFEND the Released Parties in any action or proceeding from and against all claims, damages, charges, injuries, losses, proceedings, suits, actions (including but not limited to tort actions, product liability actions, wrongful death actions, warranty actions, breach of contract actions, privacy and defamation actions, misappropriation of likeness actions, identity theft, loss of consortium claims), expenses and attorney fees that they or anyone on their behalf (including but not limited to their heirs, representatives or next of kin) have or might have for any death, injury, damage or claimed injury or damage arising out of, acceptance, possession, misuse, or use of any prize, entry or participation in the Promotion, or any Promotion related activity, or for their failure to comply with the terms of the above release provision. This agreement to indemnify, hold harmless and defend applies even if the act or omission complained of was allegedly caused in whole or in part by the strict liability or negligence in any form of the Released Parties.
8) GENERAL RULES AND LIMITATIONS OF LIABILITY:
All federal, state and local laws, rules and regulations apply. If, for any reason, the Promotion is not capable of running as planned, including infection by computer virus or bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor which corrupt or affect the operation, administration, security, fairness, integrity, or proper conduct of this Promotion, Sponsor may, in its sole discretion, void any suspect entries/claims and: (i) cancel or terminate the Promotion (or any portion thereof); (ii) modify the Promotion or suspend the Promotion to address the impairment and then resume the Promotion in a manner that best conforms to the spirit of these Official Rules; and/or (iii) award the Grand Prize claimed prior to cancellation of the Promotion from among the eligible, non-suspect online entries received, up to the time of impairment, and all eligible mailed entries received.
By entering this Promotion, each entrant agrees to be bound by these Official Rules and by all decisions of Sponsor and its respective agencies, affiliates, parents and subsidiaries, which are final and legally binding in all matters relating to this Promotion. Non-compliance with any of these Official Rules will result in disqualification and all privileges as an entrant will be immediately terminated. Sponsor, in its sole discretion, further reserves the right to disqualify any person for: (i) tampering with the entry process or the operation of the Promotion; (ii) gaining an unfair advantage in participating in the Promotion; (iii) obtaining winner status using false, fraudulent or deceptive means; or (iv) engaging in otherwise unsportsmanlike, disruptive, annoying, harassing, or threatening behavior.
WARNING: ANY ATTEMPT BY ANY ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY CIRCUMVENT, DISRUPT OR DAMAGE ORDINARY AND NORMAL OPERATION OF THIS PROMOTION, TELEPHONE SYSTEMS OR WEB SITES OF SPONSOR, OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
The Released Parties are not responsible for any incorrect or inaccurate entry information; printing errors, human errors; technical malfunctions; failures, omissions, interruptions, deletions or defects of any wireless network, computer systems, servers, providers, or software relating or resulting from participation in the promotion; theft, tampering, destruction or unauthorized access to, or alteration of, entries; data that is processed late or incorrectly or is incomplete or lost due to wireless networks, computer or electronic malfunction or traffic congestion on wireless networks or for any reason whatsoever; printing or other errors; or any combination thereof. In the event that there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion materials and the terms and conditions of these Official Rules, the Official Rules shall prevail, govern and control. The Released Parties are also not responsible if any prize cannot be awarded due to travel cancellations, delays, or interruptions due to acts of god, acts of war, natural disasters, weather, or terrorism.
This Promotion shall be governed by and construed in accordance with the laws of the State of Nebraska, without reference to its conflict of laws principles. By entering the Promotion, entrants hereby submit to the jurisdiction and venue of the federal and state courts of Nebraska and waive the right to have disputes arising out of the subject matter hereof adjudicated in any other forum. In no event, will any entrant be entitled to injunctive relief or equitable relief of any kind, or restrain the continuation of this Promotion.
9) PRIVACY:
By entering and providing the required entry information, you acknowledge that Sponsor may also send you information, samples or special offers they believe may be of interest to you about their products or other complementary goods offered by Sponsor, or other companies they may carefully select. Information collected from entrants is subject to Sponsor’s Privacy Policy. IF YOU DO NOT WISH TO SHARE YOUR INFORMATION, PLEASE EITHER DO NOT ENTER THIS PROMOTION OR PLEASE LET THE SPONSOR KNOW THAT YOU DO NOT WISH TO RECEIVE SUCH INFORMATION, SAMPLES OR SPECIAL OFFERS.
